1. HOW TO PARTICIPATE:

ENROLLMENT PERIOD: From 12:00:00 a.m. ET on 10/1/09 through 11:59:59 p.m. ET on 12/31/09, each participant (“You”) may enroll by either of the following ways: 1) Speak with a Chase or WaMu personal banker at any Chase or WaMu branch in AZ, CO, CA, CT, FL, GA, ID, IL, IN, KY, LA, MI, NJ, NY, NV, OH, OK, OR, TX, UT, WA, WI and WV; and/or 2) Visit www.chase.com/TheTab and follow the online enrollment instructions. The Sweepstakes begins 12:00:00 a.m. ET on 10/5/09 and ends 11:59:59 p.m. ET on 12/31/09 (“Promotional Period”).

TO OBTAIN ENTRIES: Chase or WaMu Debit Card Customers: You will receive one (1) Entry each time You make a qualifying purchase with your eligible Chase or WaMu debit card during the Promotional Period. Qualifying purchases include all eligible debit card purchases made without using a PIN. Such “non-PIN” purchases include purchases you sign for, purchases made using the contact-less feature of some cards (as long as a PIN is not used), Internet purchases, phone or mail-order purchases, small dollar purchases that do not require a signature, and bill payments (where billers process the transaction as a credit card). Cash advances, cash transactions, purchases authorized with a PIN (personal identification number) and ATM transactions do not qualify. Chase debit cards, WaMu debit cards and Chase-branded debit cards issued to WaMu customers are eligible to participate in this Sweepstakes except as provided below. If at any time during the Promotional Period your debit card is deactivated or replaced by a new bank-issued card, then you will need to activate your new replacement card and repeat the opt-in process to continue your participation in this Sweepstakes. Chase debit cards linked to a Chase High School Checking^SM account are ineligible for this Sweepstakes. (Fees may apply to debit card transactions.) To participate without purchase: You will receive one (1) Entry each time You visit www.chase.com/afoepickuptab6 and follow the instructions posted on-screen. Limit 5 entries (defined below) per day per person and limit 10 entries per week per person, regardless of method of entry. A week is defined as the five- (5-) day period beginning at 12:00:00 a.m. ET on Mondays through 11:59:59 p.m. on Fridays throughout the Promotional Period. Because debit card purchases do not post on Saturdays or Sundays of any week, no entries will be accepted from 12:00:00 a.m. ET on any Saturday through 11:59:59 p.m. ET on any Sunday, regardless of method of entry. Further, no entries will be accepted on: Columbus Day (10/12/09), Veterans Day (11/11/09), Thanksgiving Day (11/26/09) or Christmas Day (12/25/09) (“Holidays”) from 12:00:00 a.m. ET through 11:59:59 p.m. on Holidays because debit card purchases do not post on those days. Qualifying purchases made on Saturday and Sunday, Holidays and the Early Enrollment Period (12:00:00 a.m. ET on 10/1/09 through 11:59:59 p.m. ET on 10/4/09) will count as entries in the Sweepstakes providing they post in the Chase/WaMu Database during the Promotional Period by 11:59:59 p.m. on 12/31/09. In the event more than 5 entries are received in any day or 10 entries are received in any week, only the first 5 entries per day and first 10 entries per week will be entered into the Sweepstakes.

TIME STAMPS/DRAWINGS: Each debit card purchase and online submission (collectively “Entry”) that occurs throughout the Promotional Period, including the Early Enrollment Period (providing the entry posts during the Promotional Period), will be stamped based upon the date on which the participant’s Entry is posted and the exact time of day that the Entry took place (“Time Stamped”), and then recorded, in the Chase/WaMu Database (“Database”). To be deemed eligible and be placed in the Database, all entries must have a Time Stamp with a posting date that is prior to the end of the Promotional Period. The recorded Time Stamp of Your Entry, as recorded by the Database technology, will determine which Drawing your Entry will be eligible for. One (1) winner (subject to verification) will be randomly chosen from every five-minute period (each a “Drawing”) between 12:00:00 a.m. ET on Monday and 11:59:59 p.m. on Friday throughout the entire Promotional Period excluding Holidays. There will be a total of 17,280 Drawings throughout the entire Promotional Period. JPMorgan Chase Bank, N.A. (“Sponsor”) is not responsible for incomplete, lost, illegible, late or misdirected entries. Sponsor is not responsible for transmission defaults, computer server failure and/or delayed, garbled or corrupted data transmitted by entrants via Internet. Sponsor is not responsible for printing or typographical errors in any Sweepstakes-related materials. All Entries become the exclusive property of Sponsor and will not be acknowledged or returned. By participating in this promotion, entrants accept and agree to be bound by these Official Rules and the decisions of the judges, which shall be final, binding and conclusive on all matters.

2. PRIZES (up to 17,280): Each winner (subject to verification) will receive a monetary payout equal to the amount spent on winning Entry’s transaction (limited to the purchase amount only and not including any cash-back options on the transaction), up to Two Hundred Dollars ($200.00). Winners entering by debit card-based entries will be notified via a credit on their monthly checking statement. If the purchase was made via the eligible Chase or WaMu debit card, the winning account holder’s checking account will be credited the winning amount within four (4) weeks of the winning Entry’s posting date (minimum amount of prize is $5.00, maximum amount of prize is $200.00). Winners who enter by the alternate form of entry will be awarded checks made payable to the winner in the amount of $200.00 and mailed to the address on the Entry submission. Please allow 6–8 weeks from end of Promotional Period for winner validation and delivery of alternate method of entry prizes. (MAXIMUM ARV OF ALL PRIZES IS: $3,456,000 USD.) Odds of winning any one prize depend on the number of eligible entries received for any five-minute period. Limit one (1) prize per person, regardless of method of entry. All prizes will be awarded provided a sufficient number of entries are received for each Drawing. In the event that not all prizes have been awarded/allocated/assigned (collectively, “Unclaimed Prizes”) by 11:59:59 p.m. ET on 12/31/09, those Unclaimed Prizes will not be awarded.

3. SPECIAL SWEEPSTAKES LIMITATION: Any attempts by an individual to access the site via a bot script or other brute-force attack will result in that IP address becoming ineligible. Sponsor, in its sole discretion, reserves the right to suspend, cancel or modify the Sweepstakes without notice or liability if the integrity of the Sweepstakes is compromised in any manner as determined by Sponsor, or if the Sweepstakes is not capable of being conducted as intended by the Sponsor. Sponsor assumes no responsibility for any loss or damage to participants’ or to any other person’s computer relating to, or resulting from, entering or downloading any information or software in connection with this Sweepstakes. Sponsor and its agents are not responsible for technical, hardware, software or telephone malfunctions of any kind, lost or unavailable network connections, or failed, incorrect, incomplete, inaccurate, garbled or delayed electronic communications caused by the user, or by any of the equipment or programming associated with or utilized in this Sweepstakes, or by any human or other errors that may occur in connection with this Sweepstakes. Under no circumstances will more prizes than those set forth in these Official Rules be awarded.

4. ELIGIBILITY: NO PURCHASE NECESSARY TO ENTER OR WIN. A purchase or bank transaction will not increase your chances of winning. Sweepstakes subject to all federal, state and local laws and regulations. Sweepstakes is open only to legal U.S. residents currently residing in AZ, CO, CA, CT, FL, GA, ID, IL, IN, KY, LA, MI, NJ, NY, NV, OH, OK, OR, TX, UT, WA, WI and WV who are 18 years of age or older. Employees (and household family members of such employees) of Sponsor and its advertising, promotion and fulfillment agencies, and their affiliates, are not eligible. Cash advances, cash transactions, purchases authorized with a PIN (personal identification number) and ATM transactions do not qualify. Purchases made with a Chase debit card linked to a Chase High School Checking account are not eligible. Void where prohibited or otherwise restricted by law. All federal, state and local laws and regulations apply. Taxes, if any, are each winner’s sole responsibility. Each prize winner who enters via www.chase.com/afoepickuptab6 may be required to complete an Address Confirmation Letter. If required, documents must be returned within seven (7) days of receipt or the prizewinner will be disqualified and prize will be forfeited. Sponsor will not be responsible for any undeliverable or returned documentation and prize will be forfeited. No transfer or assignment of prize is permitted. By entering this Sweepstakes, each winner consents to the use of his/her name, photographs, voice recordings and likenesses for publicity purposes without additional compensation or permission (except where prohibited by law).

5. WINNERS LIST: For the names of the winners, send your name and address on a 3" x 5" card (Sponsor will pay return postage) by 12/31/09 to: “Chase Picks up the Tab” Promotion–WL, P.O. Box 7430, Wilton, CT 06897-7430.

6. RELEASE OF LIABILITY: All entrants release Sponsor and its parents, affiliates, subsidiaries, officers, directors, agents, employees, and all others associated with the development and execution of this promotion, from any and all liability with respect to, or in any way arising from, this promotion.

7. LANGUAGE DISCREPANCY: In the event there is a discrepancy or inconsistency between the English language version and the any other language version of these Official Rules or of any promotional materials, the English version will prevail, govern and control.
